Terms of Service

These Terms of Service (“Terms”) govern your use of ShopyPluz, operated by SoftwarePluz (“Company”). By signing up, you agree to these Terms.

1. The ShopyPluz Service

ShopyPluz provides:

  • A hosted e-commerce storefront on *.shopypluz.com
  • Order management, inventory, and analytics tools
  • Payment processing via Razorpay
  • Automated GST invoice generation
  • Optional ERPPluz integration

2. Eligibility

  • You must be at least 18 years old
  • You must be legally authorized to conduct business in India
  • You must provide accurate business information including PAN
  • You must not be involved in prohibited activities (see Section 8)

3. Merchant Responsibilities

You are responsible for:

  • All content published on your store
  • Ensuring products comply with Indian law
  • Collecting and remitting applicable taxes (GST)
  • Fulfilling orders placed by your customers
  • Maintaining your own customer support
  • Your customers' data and privacy compliance

4. Payments and Commission

  • ShopyPluz uses Razorpay Route for payment processing
  • Commission rates: Basic 3%, Pro 2%, Enterprise 1% per transaction
  • Commissions are deducted automatically before payout
  • Monthly subscription fees are charged in advance
  • All amounts are in Indian Rupees (INR)
  • GST (18%) applies to all platform fees

5. Subscription Plans

  • Basic plan: Free, 3% commission
  • Pro plan: ₹999/month, 2% commission
  • Enterprise: Custom pricing, 1% commission
  • Plans auto-renew monthly unless cancelled
  • Downgrading takes effect at next billing cycle

6. Intellectual Property

  • ShopyPluz retains ownership of the platform and software
  • Merchants retain ownership of their store content and product data
  • Merchants grant ShopyPluz a license to host and display their content
  • ShopyPluz brand, logo, and trademarks may not be used without permission

7. Termination

ShopyPluz may suspend or terminate your account if you:

  • Violate these Terms
  • Engage in fraudulent activity
  • Sell prohibited products
  • Fail to pay subscription fees
  • Receive excessive chargebacks

Upon termination:

  • Your store goes offline immediately
  • You have 30 days to export your data
  • Pending payouts are processed normally
  • No refund of prepaid subscription fees

8. Prohibited Products and Activities

You may NOT sell:

  • Firearms, weapons, or ammunition
  • Controlled substances or pharmaceuticals without license
  • Alcohol or tobacco without appropriate license
  • Adult or obscene content
  • Counterfeit or trademark-infringing goods
  • Products promoting hatred, violence, or discrimination
  • Financial instruments without SEBI/RBI authorization

You may NOT:

  • Conduct fraudulent transactions
  • Manipulate reviews or ratings
  • Use the platform for money laundering
  • Operate a Ponzi or pyramid scheme

9. Limitation of Liability

ShopyPluz is a platform provider. We are not liable for:

  • Disputes between merchants and their customers
  • Product quality or delivery failures
  • Losses due to merchant's non-compliance with law
  • Indirect or consequential damages

Our maximum liability to any merchant shall not exceed the fees paid in the preceding 3 months.

10. Indemnification

You agree to indemnify ShopyPluz against any claims, losses, or legal costs arising from your use of the platform or violation of these Terms.

11. Governing Law and Disputes

These Terms are governed by Indian law. Disputes shall be resolved through:

  1. Good faith negotiation (30 days)
  2. Mediation (30 days)
  3. Arbitration under the Arbitration and Conciliation Act, 1996, in Chennai, India

12. Changes to Terms

We will notify merchants 14 days before material changes to these Terms. Continued use constitutes acceptance.
